Welcome to cozoul (https://cozoul.com), operated by RUDRO INDIA PRIVATE LIMITED(“we,” “us,” “our,” or “cozoul”). By accessing our website, using our AI design generation tools, or purchasing our products, you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you must not use our platform.

1. Eligibility and Age Requirements

To use cozoul, you must be at least 14 years of age. If you are under the age of 18, you must have the permission and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf when making a purchase.

2. Our Service: AI-Generated Custom Products

cozoul provides an interactive e-commerce platform where users can input text prompts and upload style references to generate custom apparel designs using Third-Party AI Generation Partners. We then print these designs onto physical garments and deliver them to you.

3. Intellectual Property and Design Rights

Because our platform relies on AI to generate designs based on user inputs, the rules regarding ownership and usage are as follows:

• Digital Design Rights: You do not own the commercial rights to the digital designs generated on our platform. You are not permitted to download, extract, or use the generated digital design files for any external commercial or personal use outside of the cozoul platform.
• Ownership of the Physical Product: Once a design is printed and delivered, you own the physical garment 100%.
• Private Designs:If you choose to keep your generated design “Private” during the creation process, we will store it in our database for your future access, but we will not sell, market, or reproduce that specific design for other users.
• Public Designs (Community Feed): If you choose to publish your design to the cozoul Community Feed, you grant cozoul a perpetual, non-exclusive, royalty-free license to display, use, recreate, and sell that design to other users. Other users may also iterate upon or purchase garments featuring your Public design. Note: We may, at our sole discretion, offer a commission or reward system for users whose Community Feed designs are purchased by others, though this is subject to separate terms and is not guaranteed.

4. User Content & Copyright Responsibility

You may upload images as “style references” to guide the AI. You are solely and entirely responsible for the content you upload.

• No Copyright Infringement: You strictly agree not to upload any trademarks, copyrighted characters, logos, or intellectual property belonging to third parties (e.g., brand logos, movie characters, protected artwork) unless you have explicit legal authorization.
• Reporting & Takedowns: We employ automated moderation through our Third-Party AI Partners, as well as manual human reviews. We reserve the right to flag, block, or pull down any design from the Community Feed that we suspect violates intellectual property laws.
• DMCA / Takedown Requests: If you believe a design on our platform infringes on your copyright, you can report it via the “Report” flag icon on the design page or email us directly at [email protected]. We will investigate and remove infringing content upon human review.

5. Third-Party AI Generation & Unpredictability

Our design generation tool is powered by a Third-Party AI Generation Partner.

• You acknowledge that AI outputs can be unpredictable. We do not guarantee that the AI will perfectly interpret your prompt or style reference.
• Our Third-Party AI Partner enforces its own moderation and safety filters. If your prompt or upload is blocked by their filters, the generation will fail. We do not control these third-party filters.
• As-Is Printing: Whatever final design you approve on the digital mockup is exactly what will be sent to our printing machines. We are not responsible if you are unhappy with the aesthetic outcome of a successfully generated and printed design.

6. Strict No Cancellation, No Return, and No Refund Policy

Because every item ordered on cozoul is 100% personalized and custom-made on-demand, we enforce a strict no-cancellation and no-return policy.

• No “Change of Mind” Returns: We do not accept returns, issue refunds, or allow order cancellations if you simply change your mind, ordered the wrong size by mistake, or do not like how the design looks on the physical product.
• Color and Print Accuracy: We utilize advanced technology to ensure the physical print matches the digital mockup. However, we guarantee a 95% color and design match. Slight variations in color or placement due to monitor displays and physical printing processes are normal and do not qualify for a return or exchange.
• Exceptions (Exchanges Only): We will ONLY offer a replacement/exchange under the following conditions:
  1. The product delivered is completely different from the design you ordered.
  2. We delivered the wrong size (based on your confirmed order records).
  3. The product is physically defective or damaged in transit.

To claim an exchange for the above reasons, you must contact [email protected] within 7 days of receiving the item, providing clear photographic evidence of the defect.

7. Payments, Pricing, and Billing

All payments are required upfront at the time of order placement. Payment processing is securely handled via Shopify and our payment gateway partner, Razorpay. All prices are subject to change without notice.

8. Shipping, Customs, and Duties

While our primary operations are in India, we offer shipping to various global destinations through our logistics partners.

• Customs and Import Taxes: For international orders, the customer is 100% responsible for any customs duties, import taxes, or clearance fees levied by their local government. cozoul is not responsible for delays caused by customs processing.

9. Limitation of Liability

To the maximum extent permitted by law, RUDRO INDIA PRIVATE LIMITED (cozoul) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our platform, the AI generator, or our physical products.

10. Indemnification (Your Legal Responsibility)

You agree to defend, indemnify, and hold harmless RUDRO INDIA PRIVATE LIMITED, its directors, employees, and third-party partners from any claims, damages, liabilities, costs, and expenses (including legal and attorney fees) arising from:

1. Your violation of these Terms and Conditions.
2. Any claim that a style reference or prompt you provided infringed upon the copyright, trademark, or intellectual property rights of a third party. (If we are sued because of a design you created and ordered, you are financially and legally responsible).

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms, our platform, or your purchases shall be subject to the exclusive jurisdiction of the courts located in Ludhiana, Punjab, India (Pin Code: 141008).

12. Changes to these Terms

We reserve the right to update or modify these Terms and Conditions at any time. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.
